What is dilution across funding rounds?
Every time your company issues new shares to an investor, everyone else's ownership percentage shrinks a little, even though the number of shares they hold stays the same. Across multiple rounds, this compounds.
Modelling each round separately, in order, is the only way to see how your stake - and your team's - actually looks by the time you reach exit. Read the full explainer.
Dilution formula, per round
New shares = (Current shares + shares from earlier rounds) × Pre-money issuance %
Example: 1,000,000 current shares with a 10% pre-money issuance = 100,000 new shares, giving the investor 9.09% of the company. A second 10% round then issues 110,000 shares.
