Frequently asked questions
What is ERS reporting?
ERS (Employment Related Securities) reporting is how HMRC keeps track of any shares or share options you give to employees or directors. If your company runs a share scheme, you'll need to register it through the ERS service, notify HMRC of certain events, and file an annual return, even in years with no activity.
Do I need to register my scheme before I can report anything?
Yes. You can't notify HMRC of grants or submit a return until the scheme is registered on HMRC's ERS service. This has to be done by someone within the company, not an accountant or agent, though they can help with the actual notifications and returns once it's set up.
How long does registration take?
If you don't already have PAYE set up on your account, it can take up to three weeks. There's also roughly a 24-hour delay between registering the scheme and being able to complete your first notification, so it's worth getting this sorted well ahead of any deadline.
Do I need to register a new scheme every year?
It depends on the scheme type. For EMI, you only register once, and every future grant gets notified under that same scheme. For growth shares, you'll need to register a new scheme each time you issue a new batch.
When do I need to notify HMRC about an EMI grant?
For EMI options granted before 6 April 2024, you had 92 days from the grant date. For anything granted on or after 6 April 2024, the deadline is 6 July following the end of the tax year in which the grant was made.
Do CSOP, growth shares, and unapproved options need a separate grant notification like EMI does?
No. CSOPs, unapproved options and growth shares are reported through your annual return rather than a one-off notification.
What is the annual return deadline?
6 July each year, for every scheme you have registered. This applies whether or not anything actually happened during the tax year. If nothing happened, you still need to file, just as a nil return. You'll be asked whether there were any reportable events, and you simply select "no".
What happens if I miss the deadline?
HMRC penalties kick in automatically. It starts at £100, rising to an extra £300 after three months, another £300 at six months, and then £10 a day if it drags on past nine months. On top of that, a missed EMI notification can put the whole tax-advantaged status of the scheme at risk for both the company and your employees.
Does exercising an option need to be reported too?
Yes, any exercise event needs to go into your annual notification to HMRC.
