Using Data Rooms on Vestd

How to securely store, organise, and share key company documents

Whether you're managing equity, raising investment, or prepping for due diligence, ourData rooms let you store and share important files in one secure, central place.

From agreements and financials to cap tables and shareholder documents, you decide what to include and who gets access.

Everything stays organised, up to date, and easy to find—ready whenever you need it.

✅ Where to find Data Rooms

On the navigation panel on the left-hand side, click Documents, then scroll down to Data Rooms.





✅ Creating a new Data room

1. Click the green [Create a new data room +] button.



2. Give your Data room a name

Your Data room’s name will default to 'My room'. Handy for getting started, but you’ll probably want something more specific. To rename it, click [Rename] next to the current name.


Tip: This name will be visible to anyone you invite to the room. Consider selecting something clear and appropriate to share.


3. Add a description

You’ll see an optional Description box below the name field. You can add details about the Data Room and what it will be used for,

 e.g. Files relating to the Pre-seed Round 2025, including pitch materials, financial documentation, and other such pertinent records.

This description will be visible to anyone you invite to the Data room.


4. Once you’re happy with the Data room name and description, click [Save].




📁 Organising your documents

Once you’ve created your Data room, you can begin adding folders and files to organise documents in a way that supports you and your stakeholders.

5. Create folders to categorise your documents. Click the green [+ Folder] button. 



A new folder row will appear, and the folder name will default to ‘A new folder’. Rename the folder to reflect the contents you plan to add, then click [Save].


6. Add subfolders.


There are two ways you can create a subfolder:

  • Option 1: Drag a folder into another folder.

  • Option 2: Click the three dots next to a folder, then select [Add folder]

Remember to rename your subfolders—otherwise, they’ll default to New folder.’

 

Tip: To collapse the navigation panel, select the arrow icon in the circle at the top, aligned with Home.



📄 Adding files

7. Once your folders are ready, start uploading your documents.

To add a file:

  • Click the three dots next to the folder where you’d like the file to live.

  • Select Add file

 


8. Choose a file from your computer by clicking [My computer] or from your [All documents] area on Vestd.

Tip: Drag and drop - You can also drag files directly from your computer into the data room.

 

  • The files will appear under the selected folder. (Moving files: If you change your mind, just drag the file into a different folder).

Note: You can also add a file by clicking [+ File] at the top and dragging the file into the relevant folder.


Tip: To collapse a folder and everything inside it, just click the folder.



👥 Sharing your Data room

Now that you’ve set up your folders and added your files, you can start inviting people to your Data room.

9. Click [Sharing].


10. You’ll see a window with two sections:

  • 'Add users or email addresses'

  • 'People with access'

If you’ve already shared the data room, existing users will appear under 'People with access'.

You can also select from your organisation’s existing contacts—such as shareholders or team members. These will prepopulate in a dropdown menu when you click into the 'Add users or email addresses' field.

11. To invite someone new:

    • Enter their email address.

    • Click [Add] or click their name from the populated dropdown list

12. Set their access level:

    • View only: Can view documents.

    • View and upload: Can view and upload documents.

    • Editor: Can create, delete, move, and share data rooms.



13. Once you’ve set everything up, click [Save and invite]. This will send an email notifying the person that you’ve shared the Data room with them. 



14. To remove access later, click the [Sharing] button again and select the red bin icon next to the user’s name.

15. And then click [Confirm]

Note: All access levels can download files.



👀 Previewing access

16. If you’d like to see exactly what each access level allows:

  • Click [View as]

  • Select the access level to preview.




🛠️ Using bulk actions (editors only)

17. Editors can manage multiple items at once.

Click [Bulk actions] to:

  • Download several files or folders.

  • Delete multiple items simultaneously.

Simply select the files or folders you’d like to download or delete. When you choose 'Delete', a confirmation message will appear asking you to confirm the removal of the selected items.



🔙 Returning to all Data rooms

18. To go back to your overview of all data rooms:

  • Click '< Back to data rooms' at the top of the page.
